Effective date: 9 June 2026. By signing up or using Truvyo (the "Service"), you ("Customer") agree to these Terms. If you don't agree, don't sign up.
Truvyo provides an evidence-grounded AI support engine delivered over HTTPS. Customer accesses the Service via API keys and embeddable widgets. Truvyo may update the Service at any time; material breaking changes are announced at docs.truvyo.ai at least 30 days in advance.
Customer is responsible for safeguarding the tenant API key. Truvyo only stores SHA-256 hashes of keys — plaintext is shown once at provisioning and never again. Customer agrees not to share keys outside the licensed Customer organization, and to rotate keys promptly on suspected compromise.
Plans, prices, and disposition definitions are published at truvyo.ai/pricing. Trial: 7 days, no charge. After trial expiry, the Customer is billed monthly for: (a) the plan's basic fee, (b) named operator seats at $45/seat/month, (c) dispositions exceeding the plan's pool, billed at the plan's overage rate. Escalated and abandoned dispositions are non-billable.
Auto-upgrade applies when monthly billable dispositions exceed 110% of the plan pool, unless the Customer has set manual_plan = 1. Customer is notified of any auto-upgrade by email within 24 hours.
"Customer Content" means knowledge-base articles, conversation transcripts, configuration, and other data the Customer or its end-users submit to the Service. Customer retains all rights to Customer Content. Truvyo processes Customer Content solely to operate the Service for that Customer, per the Data Processing Addendum.
Truvyo does not train AI models on Customer Content. Anthropic, the upstream LLM provider, also does not train on API traffic by default. Truvyo does not export Customer Content in bulk — no extract endpoint exists.
Customer agrees to the Acceptable Use Policy. Prohibited uses include: providing the Service to sanctioned parties; processing health, financial, or child-related data outside an executed Enterprise contract with appropriate addenda; attempting to extract Truvyo's Shared Library content via prompt injection or other means; benchmarking the Service for publication without written consent.
The Service uses artificial intelligence (large language models) to generate support guidance grounded in audited sources. AI can make mistakes. Despite citation and cross-check safeguards, the Service may produce answers that are incomplete, outdated, or incorrect. Truvyo makes commercially reasonable efforts to keep the Shared Library current but does not warrant that any answer is accurate, complete, current, or fit for any particular purpose.
The Service is assistive troubleshooting — not a substitute for professional, human, or expert judgement, and not a set of strict directives. It is intended to help diagnose and suggest, not to instruct or decide. Customers and end-users must apply their own judgement, follow manufacturer instructions and applicable safety codes, and consult a qualified human professional before acting on any guidance in a safety-critical, medical, electrical, structural, financial, or otherwise high-risk situation.
Assumption of risk. Any action taken on the basis of the Service's output is taken by the user at their own choice and their own risk. To the maximum extent permitted by law, Truvyo is not responsible or liable for any loss, injury, damage, cost, or complication arising from reliance on, or use of, the Service's output — whether by the Customer or its end-users, and whether or not the output was accurate.
Risk-disclaimer & waiver policy. Where output carries material risk, the Service is configured to disclose its limitations and, before presenting any potentially hazardous step, to require the end-user to acknowledge that they understand the risk and choose to proceed at their own risk. Customer agrees to keep this risk-acknowledgement behavior enabled, and to present an equivalent disclaimer and obtain its end-users' acceptance of these risk terms wherever Customer surfaces the Service's output. The Service is provided "as is" except as expressly stated below. Customer is responsible for reviewing the Service's behavior, and for adding a live human-support layer, before exposing it to end-users in safety-critical or regulated contexts.
Truvyo targets 99.9% monthly availability on Growth and Scale plans, measured per the Security Overview. Service credits apply only on plans with an SLA addendum (Enterprise). The Customer's exclusive remedy for availability shortfalls on non-Enterprise plans is the ability to terminate without penalty.
Term starts at sign-up and continues until either party terminates. Customer may terminate at any time by deleting the tenant from the admin tools — pro-rated refunds are not provided for partial months. Truvyo may terminate for material breach with 30 days' notice, or immediately for AUP violations, non-payment past 30 days, or court order.
On termination: Customer's tenant data is deleted within 30 days. Aggregated, de-identified usage metrics may be retained for billing audit and security review.
Each party will protect the other's confidential information using at least the standard of care it uses for its own. Customer's API keys, tenant configuration, and tenant overlay content are Customer Confidential Information. Truvyo's pricing, architecture, and Shared Library content are Truvyo Confidential Information except where published.
Truvyo retains all rights in the Service and the Shared Library. Customer retains all rights in Customer Content. No license is granted by implication; each party uses the other's marks only as expressly permitted in writing.
Each party warrants it has authority to enter this agreement. TRUVYO DISCLAIMS ALL IMPLIED WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE EXTENT PERMITTED BY LAW.
EXCEPT FOR BREACHES OF CONFIDENTIALITY, IP, OR PAYMENT OBLIGATIONS: EACH PARTY'S TOTAL CUMULATIVE LIABILITY IS LIMITED TO THE FEES PAID OR PAYABLE BY CUSTOMER IN THE 12 MONTHS PRECEDING THE CLAIM. NEITHER PARTY IS LIABLE FOR INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES.
Truvyo will indemnify Customer against third-party IP claims arising from the unmodified Service. Customer will indemnify Truvyo against third-party claims arising from Customer Content, Customer's use of the Service in violation of these Terms, or end-user misuse.
Truvyo may update these Terms with at least 30 days' notice to the Customer's primary email of record. Continued use after the effective date constitutes acceptance. If the Customer doesn't accept, the Customer may terminate before the effective date with refund of any unused prepaid fees.
These Terms are governed by the laws of the State of Delaware, USA, without regard to conflicts-of-law rules. Disputes are resolved in the courts of New Castle County, Delaware, except where mandatory consumer-protection law in the Customer's jurisdiction provides otherwise.
These Terms together with the Privacy Policy, DPA, and AUP form the entire agreement. If any provision is unenforceable, the rest remains in force. Neither party may assign without written consent except in connection with a merger, acquisition, or sale of all or substantially all assets.
